The RRBS Legal Tax Department, not only asseses clients on the applicable tax law with the required technical accuracy, but also offers their clients a solution eminently practical for each assesment, always in coordination with the remaining legal fields. Therefore a complete counsellilng is provided with the main purpose of combining both a tax optimization and a scrupulous fulfillment of the law.

The experience accumulated in the Tax Department is mainly focused on the following areas:

  • Complete counselling to family real estate, analysing and coordinating the different company and individual interests. Wide experience with Non Resident clients that settle or have interests in the national territory.
  • Recurring advisory to companies, addressing their tax issues realted to their business, the family groups generational succession, assets investment and disinvestment processes, mergers and acquisitions operations (M&A), real estate operations as well as experience in the constitution and counselling to SOCIMIs and venture capital entities.
  • Our Tax Department has a wide experience in the provision of complete assitance in any tax verification and audit procedures, advisory on tax liabilities derivation procedures, simulations and related-party transactions as well as in the preparation of the corresponding appeals and claims in the administrative, economic-administrative and contentious-administrative areas, in all their instances.

2021-2021. Legal advise to asset securization fund on the different alternatives to dissolve the fund

2017-2021 – Claim on behalf of one of the most important companies in the Spanish residential portfolio management industry before the Central Administrative Economic Court. (Claim carried against the State Treasury Inspection for Tax Link and Sanction procedures).

2020 – Legal advice to a leading foreign bank on the launch of its operations in Spain through the acquisition of a bank.

2000-2020 Processing before the CNMV of the authorization files in the constitution and registration of both ECR and SGIIC. Colaboration in the incorporation process of SOCIMI´s into trading in the Alternative Stock Market (MAB).

2017 – Active colaboration in the restructuring process and sell of one of the largest distributors of laboratory equipment and related products.

2016 – Representation of a leading company in the telecommunications sector related to contentious-administrative enforcement regarding the payment of the General Operators’ Tax.

2015 – Participation in the negotiations and acquisition of a relevant stake in a listed company.

2009 – Transmission transaction of powerful construction businness leader in the Spanish Building Industry.

2009 – Asesoramiento en operación de transmisión de una de las mayores empresas constructoras a nivel nacional.

2007 – Acquisition transaction os largest group in the dangerous goods transportation services industry, from a venture capital entitiy for the amount of 44 million euros. Subsequent transfer of the group to the multinational company.

2000 – Transmission transaction of a large shareholder of an IBEX-35 listed company in the Spanish construction industry.
